Terms of Service

Last updated: April 2026

1. Scope and Contracting Party

These Terms of Service govern the use of the TradeFork software platform, operated by TradeFork, c/o Block Services, Stuttgarter Str. 106, 70736 Fellbach, Germany ("Provider"). By subscribing to TradeFork, you ("Customer") agree to these terms.

2. Service Description

TradeFork offers two deployment models: (a) Cloud (SaaS): The Provider operates a dedicated server on behalf of the Customer, including hosting, updates, and backups. The Customer accesses the platform via a web dashboard at a dedicated URL. (b) Self-Hosted: The Customer installs and operates the software on their own Linux server. The Provider supplies the software license, updates, and technical support. The applicable model is determined by the product selected during checkout.

3. Contract Formation

The contract is formed upon successful completion of payment via Stripe. For Cloud plans, the Customer's server is provisioned automatically and login credentials are sent via email. For Self-Hosted plans, a license key is sent to the email address provided during checkout.

4. Payment Terms

  • • Subscription is billed monthly or yearly via Stripe in the currency shown at checkout
  • • The subscription renews automatically unless cancelled
  • • Price changes will be communicated at least 30 days in advance
  • • Failed payments may result in license deactivation

5. Right of Withdrawal

You have the right to withdraw from this contract within 14 days without giving any reason. The withdrawal period is 14 days from the date of contract conclusion.

To exercise your right of withdrawal, you must inform us (TradeFork, c/o Block Services, Stuttgarter Str. 106, 70736 Fellbach, Germany, email: [email protected]) of your decision to withdraw by means of a clear statement (e.g. by email).

To meet the withdrawal deadline, it is sufficient to send the communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.

Effects of Withdrawal

If you withdraw from this contract, we shall reimburse all payments received from you without undue delay and at the latest within 14 days from the day on which we received notification of your withdrawal. We will use the same means of payment as you used for the original transaction.

Early Expiration of the Right of Withdrawal

The right of withdrawal expires prematurely if we have begun to perform the contract after you gave your express consent and simultaneously confirmed that you lose your right of withdrawal upon commencement of performance. By completing the purchase, you consent to the immediate commencement of services and confirm that you thereby lose your right of withdrawal.

6. Plan Changes

An upgrade to a higher plan is possible at any time and takes effect immediately. The difference is prorated. A downgrade to a lower plan takes effect at the end of the current billing period.

7. Termination

The subscription can be cancelled at any time through the Customer Portal. Cancellation takes effect at the end of the current billing period. Upon cancellation, the license key is deactivated and the software will no longer start new trading accounts.

8. Data and Migration

For Cloud plans: The Customer's data is stored on a dedicated server managed by the Provider. Server locations are within the European Union (currently Germany and France). Upon cancellation, the Customer's data will be retained for 30 days before deletion. The Customer may request a data export before deletion. When changing plans, the system may be migrated to a different server. During migration (approximately 15-30 minutes), the dashboard may be temporarily unavailable. All data and configurations are transferred automatically.

9. License Terms

  • • The license grants a non-exclusive, non-transferable right to use the software
  • • For Self-Hosted plans, the license is bound to a single server (hardware ID). For Cloud plans, the license is bound to the Customer's managed server instance
  • • Redistribution, sublicensing, or resale of the software is prohibited
  • • Reverse engineering, decompilation, or disassembly of the software is prohibited

10. IMPORTANT: Trading Risk and Customer Responsibility

TRADING INVOLVES SUBSTANTIAL FINANCIAL RISK. THE CUSTOMER BEARS THE MARKET RISK OF ALL TRADES.

  • • The Software is a technical tool for managing and replicating trades. It is not a financial product, not investment or trading advice, and offers no guarantee of profit
  • • The Customer alone makes all trading decisions, chooses strategies, sets position sizes, and defines risk parameters
  • • The Provider accepts no liability for trading losses, lost profits, missed order execution, slippage, or any other financial damages related to the Customer's trading activities — regardless of whether they occur on demo or live accounts
  • • Software defects, connection interruptions, broker outages, or delays can occur and may result in losses. The Customer acknowledges the obligation to spot-check Software operation regularly and to validate new configurations before productive use
  • • We expressly recommend testing new strategies and configurations on demo accounts before applying them to live accounts

11. Limitation of Liability and Trading Risk

(1) The Software is provided „as is“. The Provider is not a broker, financial advisor, asset manager, or investment service within the meaning of applicable financial regulations. The Software does not constitute investment advice, investment recommendation, or financial analysis. (2) The Customer is solely responsible for: (a) trading strategies, position sizes, and risk-management parameters; (b) selection, configuration, and monitoring of trading accounts and copy-trading connections; (c) compliance with broker and PropFirm terms; (d) periodically verifying that the Software is operating on the Customer's accounts as expected. (3) The Provider's liability is unlimited for intent, gross negligence, express warranties, and injury to life, body, or health. For slightly negligent breach of material contractual obligations (Kardinalpflichten), liability is limited to the contractually typical, foreseeable damage; otherwise liability for slight negligence is excluded. (4) To the maximum extent permitted by law, the Provider is not liable for, in particular: • trading losses, lost profits, slippage, missed or delayed order execution; • losses caused by market events, gaps, volatility, spread changes, or margin calls; • outages, delays, or malfunctions of brokers, trading platforms, the internet, DNS, cloud providers, or other third-party services; • consequences of PropFirm rule violations or broker account closures; • indirect, consequential, or incidental damages, data loss outside the regular daily backup, and intangible damages. (5) Even in the event of a Software defect, the Provider is not liable for resulting trading losses to the extent the Customer could reasonably have been expected to spot-check Software behavior or validate new configurations on a demo account beforehand. (6) The Provider's total aggregate liability is capped at the subscription fees actually paid by the Customer in the twelve (12) months preceding the event giving rise to the claim. (7) The limitations in sections (3)–(6) extend to the Provider's employees, legal representatives, and vicarious agents.

12. Availability

For Cloud plans, the Provider endeavors to maintain high availability but does not guarantee a specific uptime percentage. Scheduled maintenance will be announced in advance where possible. The Provider is not liable for interruptions caused by the Customer's internet connection or third-party services. For Self-Hosted plans, availability depends on the Customer's own server infrastructure. The Provider is not responsible for server uptime, backups, or network connectivity.

13. Prohibited Use

  • • Using the software for illegal activities
  • • Attempting to circumvent license restrictions
  • • Sharing license keys with unauthorized third parties
  • • Intentional overloading of the license server

14. Changes to Terms

The Provider reserves the right to modify these Terms of Service. Changes will be communicated at least 30 days before taking effect. Continued use after the notice period constitutes acceptance of the new terms.

15. Applicable Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany. The place of jurisdiction is the registered office of the Provider, unless mandatory consumer protection laws dictate otherwise.

16. Severability Clause

If any provision of these Terms is found to be invalid, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the original intent.
